Terms of Service

Article 1 (Purpose)
These Terms of Service (the “Terms”) govern the use of the online services provided by ROA (the “Company”) under the TalkDa brand (the “Service”), and set out the rights, obligations, and responsibilities between the Company and users.
Article 2 (Definitions)
- “Service” means the online services provided by the Company through TalkDa that support temperament analysis, parenting record management, and AI-based parenting information and consultation support based on user-entered information and records about a child. Related websites, applications, and additional features may be included.
- “Member” or “User” means a person who agrees to these Terms and uses the Service after creating an account or logging in through the Company’s procedures.
- “Child Profile” means the set of basic information about a child registered by a User and related temperament, diary, and consultation data linked to that child.
- “User Content” means information entered, uploaded, or transmitted by a User, including child profile data, multiple-choice and free-text answers, parenting diaries, consultation messages, feedback, and other materials entered by the User.
- “AI-Generated Content” means outputs generated by the Service based on User Content and related data, including temperament documents, diary/observation summaries, consultation replies, integrated consultation summaries, and other analysis or guidance.
- “Temperament Assessment” means multiple-choice items and parent free-text questions provided to help understand a child; it is not a medical or psychological diagnostic test.
- “Temperament Document” means a child-related document that may be generated or updated based on assessment results and related materials.
- “Parenting Diary” means diary entries and related data created by a User about a child’s daily life or observations.
- “AI Parenting Consultation” means AI-generated parenting information and consultation support that may reference accumulated materials such as the child profile, temperament document, diaries, and prior consultation records.
- “Consultation Records” and “Integrated Summaries” means stored consultation conversations and summary materials that may be generated from them.
- “Echo” means promotional or event AI-usage credits.
- “Lumi” means AI-usage credits that may be provided through subscription or other methods determined by the Company.
- “Core” means AI-usage credits that may be purchased or topped up separately.
- “Paid Services” means services or credits provided through paid transactions (including subscriptions and Core top-ups).
- “Promotional Credits” means credits granted by the Company without cash payment or on non-cash terms, including events, feedback rewards, and free trials.
Article 3 (Posting, Effect, and Changes)
- These Terms become effective when posted on the Service (e.g., /terms/).
- The Company may amend these Terms to the extent permitted by applicable law.
- When amending the Terms, the Company will post the effective date and reasons through in-service notices or on-screen publication. For material or adverse changes, the Company will endeavor to provide reasonable advance notice.
- Where applicable law requires separate consent for a change, the Company will obtain consent in accordance with that law and the Company’s procedures. For other amendments, continued use of the Service after the effective date may be deemed acceptance. Users who do not agree may stop using the Service and delete their account.
- Matters not specified in these Terms are governed by applicable law, the Privacy Policy, the Refund Policy, and customary practices.
Article 4 (Service Content)
- The Company may provide features including:
- Child profile registration and management
- Multiple-choice temperament assessment and parent free-text questions
- Generation, viewing, regeneration, and updating of temperament documents
- Creating, storing, viewing, editing, and deleting parenting diaries
- Diary/observation summaries and integrated observation summaries
- AI parenting consultation
- Storing, viewing, and deleting consultation records, and integrated consultation summaries
- Updating temperament documents using accumulated materials
- Granting, displaying, and using Echo, Lumi, and Core credits
- Payments, subscriptions, top-ups, and related guidance (Payment page)
- User feedback submission
- Other related features added by the Company
- Details, scope, conditions, and credit consumption for each feature follow the Service screens and applicable policies. The nature and limits of AI features are set out in Article 15.
Article 5 (Changes and Suspension)
- The Company may change, add, or discontinue all or part of the Service for operational or technical reasons.
- The Company may temporarily suspend the Service for system maintenance, infrastructure failures, third-party AI API outages or policy changes, force majeure, or other circumstances beyond reasonable control.
- Free, beta, or promotional features may be changed or ended with notice or as operationally necessary.
- In urgent cases such as security incidents, notice may be provided afterward.
Article 6 (Registration and Contract)
- A use contract is formed when a User agrees to these Terms and completes the Company’s signup/login procedures (including email/password and OAuth such as Google/Kakao).
- Users must provide accurate information. Except where the Company is liable under applicable law, the Company is not responsible for disadvantages arising from false information.
- Age and consent requirements relating to registration and the processing of children’s personal information follow applicable law and the Company’s Privacy Policy.
Article 7 (Account Management)
- Users are responsible for safeguarding their accounts and passwords.
- Users must not share, transfer, or lend accounts, or use another person’s account.
- If misuse is suspected, Users should notify the Company and take appropriate steps such as changing passwords.
- Users may terminate the contract through account deletion. Data handling and credit forfeiture follow Article 17, the deletion screens, and the Privacy Policy.
- If a User violates these Terms or law, the Company may restrict use or terminate the contract, with prior notice or, in urgent cases, subsequent notice.
Article 8 (Child Profiles and Child-Related Information)
- Users may register and manage child profiles (e.g., name, birth date, gender) and related records.
- Users may enter a child’s information only if they have lawful authority to do so (such as a parent or legal guardian). Unauthorized registration of another person’s child is prohibited.
- Users should avoid entering unnecessary sensitive details beyond what is needed for the Service.
- Users are principally responsible for the accuracy and lawfulness of child-related information they enter.
- Per-child assessment results, temperament documents, diaries, and consultation records may be used for AI consultation, document generation, and summaries for that child.
Article 9 (User Content and AI-Generated Content)
A. User Content
- Rights in User Content belong to the User to the extent provided by applicable law.
- Users allow the Company to process User Content as needed to provide, store, transmit, summarize, analyze, secure, and fix the Service, and to provide customer support.
- Collection, use, entrustment, and cross-border processing of personal information follow the Privacy Policy.
- Users must not enter content that infringes others’ rights.
- The Company may restrict or delete content that violates law, infringes rights, or interferes with operations.
B. AI-Generated Content
- Users may use AI-Generated Content for non-commercial purposes related to parenting, education, or consultation concerning their child.
- Accuracy, completeness, or any particular outcome is not guaranteed.
- Legal characterization of AI outputs follows applicable law; these Terms do not treat User Content itself as owned by the Company.
Article 10 (Credits — Echo, Lumi, Core)
- Nature and validity
- Echo: event/promotion AI-usage credits, generally valid for 30 days from the date of grant or renewal.
- Lumi: subscription (or similar) AI-usage credits available during the subscription period; remaining Lumi may expire when the subscription ends.
- Core: purchased/top-up AI-usage credits, generally valid for 90 days from the date of purchase or top-up. If you buy more while valid Cores remain, balances stack and the expiry resets to 90 days from the latest purchase. Expired Cores are not restored. Subscription payments/renewals or Lumi grants alone do not extend Core expiry.
- Usage order: Credits are generally deducted in the order Echo → Lumi → Core.
- Deduction: Credits may be deducted based on AI usage, and the amount may vary by feature and how the Service is used. The specific timing of deductions and how failures are handled follow the screens and policies for each feature. Where the Company confirms that a use was not successfully provided, it may cancel the deduction or restore credits. If the balance is insufficient, the relevant feature may be unavailable.
- Credits are not convertible to cash and are not transferable between users. Fraudulent acquisition or use is prohibited.
- The Company may change credit names, display units, or product composition for operational reasons, and may correct balance display errors based on actual holdings and usage.
- Free/promotional credits are not refundable (see the Refund Policy).
- Upon account deletion, remaining Echo, Lumi, and Core balances are forfeited and not restored.
Article 11 (Paid Services, Payments, and Refunds)
- Product types, prices, and conditions follow the Payment page and checkout screens.
- The Service may use Paddle as merchant of record for paid digital products and subscriptions. Payment, receipts, subscription management, and refunds follow Paddle and the Refund Policy.
- Refund eligibility, request windows, and free-service non-refundability follow the Refund Policy.
- These Terms and the Refund Policy do not limit any mandatory consumer rights under applicable law.
- The Company may introduce other payment methods for operational reasons; if offered to general users, they will be described on the Service.
Article 12 (Privacy)
- Details of personal information processing follow the Privacy Policy.
- Users who enter third-party information (including child information) must have lawful authority and responsibility to do so.
- User-entered information may be used in AI processing to provide the Service; entrustment/external processing follows the Privacy Policy.
- Deletion, retention, and account closure follow the Privacy Policy and applicable law.
Article 13 (Prohibited Acts and Restrictions)
- Users must not: enter another person’s or another person’s child’s information without authority; steal/share/transfer accounts; enter false or unlawful content; infringe others’ rights; overload systems with automated requests; hack or exploit vulnerabilities; abuse credits or payment systems; use AI outputs for illegal or harmful purposes; reverse-engineer or commercially exploit the Service without consent; or otherwise violate law or these Terms.
- The Company may warn users, restrict features, suspend accounts, terminate contracts, or delete content where violations are confirmed or reasonably suspected.
- The scope and duration of restrictions are determined reasonably based on severity, repetition, and harm, with notice where practicable.
Article 14 (Intellectual Property)
- Rights in Service code, UI/design, logos/trademarks, prompts and analysis structures, screen composition, database structures, and other Company-created elements belong to the Company or rightful owners.
- Rights in User Content belong to the User to the extent provided by law.
- Users must not copy, distribute, sell, or reverse-engineer Service components without prior consent.
- Use of AI-Generated Content follows Article 9; this Article does not mean the Company owns User Content itself.
Article 15 (Limits of AI and Disclaimers)
- AI outputs may vary with the amount, accuracy, and freshness of User inputs and may be inaccurate or incomplete.
- Temperament assessments are not medical or psychological diagnostic tests; temperament documents and consultation replies are reference materials to support parental judgment.
- The Service does not replace diagnosis, treatment, counseling, or educational guidance by qualified human professionals. Marketing language about “understanding your child” does not mean licensed professional counseling is being provided.
- For concerns involving health, development, mental health, abuse, self-harm, harm to others, or emergencies, Users must seek help from qualified professionals or emergency services.
- Users must not make major decisions based solely on AI outputs.
- Except for the Company’s willful misconduct or gross negligence, or where liability cannot be limited under applicable law, the Company is not liable for damages arising from treating AI outputs as professional advice or making decisions based on them.
Article 16 (Limitation of Liability)
- Except as required by law, the Company may not be liable for failure to provide the Service due to force majeure, including third-party AI API outages.
- The Company is not liable for disruptions caused by the User’s fault.
- Absent willful misconduct or gross negligence, the Company is not liable for lost expected profits or damages from interpreting or using AI-Generated Content or User Content.
- Nothing in these Terms excludes liability for the Company’s willful misconduct or gross negligence, or mandatory consumer rights that cannot be waived.
Article 17 (Data, Outages, and Retention)
- The Company endeavors to protect data and recover from outages within a reasonable scope, but does not guarantee permanent preservation without loss.
- Users are encouraged to keep separate copies of important materials. A general export/download feature may not be available.
- Upon account deletion, the Company deletes the account and related data linked to it, including child information, diaries, and temperament/consultation records, and remaining Echo, Lumi, and Core balances are forfeited. Such data and balances cannot be restored after deletion.
- Information required to be retained by law, information under investigation, and payment/transaction records may be retained as required by law and the Privacy Policy.
- Complete removal from backup systems may take a reasonable operational period.
Article 18 (Notices)
- The Company may notify Users through in-service notices, on-screen posts, registered email, or other reasonable methods.
- Notices to the general user base may be replaced by posting within the Service.
Article 19 (Governing Law and Disputes)
- These Terms are governed by the laws of the Republic of Korea.
- The parties will negotiate in good faith to resolve disputes.
- If negotiation fails, Users may use dispute-mediation procedures available under applicable consumer protection laws, including those relating to e-commerce.
- Litigation may be brought before a court of competent jurisdiction under applicable procedural law. These Terms do not impose an exclusive jurisdiction clause that is unfairly disadvantageous to consumers.
